1.1. No Investment Advice or Financial Services

The Products and Materials, including all software outputs, examples, documentation, articles, communications, and other content, are provided for informational and educational purposes only. Nothing in the Products and Materials is intended to, and shall not be construed to, constitute: (a) investment, trading, financial, tax, accounting, or legal advice; (b) a recommendation, solicitation, or offer to buy, sell, or hold any security, derivative, commodity, or other financial instrument; or (c) the provision of personalized investment advice or financial planning services.

Safepine LLC is not registered with the U.S. Securities and Exchange Commission (SEC), the Commodity Futures Trading Commission (CFTC), any state securities regulator, or any foreign regulatory authority in any advisory, brokerage, or similar capacity. Safepine does not manage assets, monitor user positions or accounts, or act as an agent or fiduciary for any user.

You are solely responsible for evaluating any information obtained through the Products and for all decisions you make. You should consult with a qualified financial, tax, or legal professional before making any investment or trading decisions.

1.2. Simulation, Hypothetical Results, and Market Risk

The Products may allow users to run simulations or models, including models applied to historical or synthetic data. Any performance figures, projections, or other numerical outputs generated by the software are hypothetical in nature and are provided solely for illustrative and analytical purposes.

CFTC Rule 4.41 Disclosure: In accordance with U.S. Commodity Futures Trading Commission (CFTC) regulations, you acknowledge the following inherent limitations of hypothetical performance:

"These results are based on simulated or hypothetical performance results that have certain inherent limitations. Unlike the results shown in an actual performance record, these results do not represent actual trading. Also, because these trades have not actually been executed, these results may have under-or over-compensated for the impact, if any, of certain market factors, such as lack of liquidity. Simulated or hypothetical trading programs in general are also subject to the fact that they are designed with the benefit of hindsight. No representation is being made that any account will or is likely to achieve profits or losses similar to these being shown."

Market Risk Warning: All markets and investments involve significant risk, including the possible loss of principal. Past performance, whether actual or simulated, is not indicative of future results. Safepine LLC does not guarantee the accuracy, completeness, or suitability of any data or results produced by the Products.

You assume all risks associated with your use of the Products, including any decision to interpret or act upon simulated or analytical outputs. Safepine has no obligation to update any information or outputs and assumes no liability for trading losses or financial damages arising from the use of this software.

TERMS OF USE & LICENSING

Effective date: July 14, 2026

2.1. Nature of Safepine

Entity Classification: “Safepine” (“Safepine,” “we,” “us,” or “our”) refers to Safepine LLC, a Delaware limited liability company. Safepine is strictly a software development company that builds and licenses locally installed, offline-first tools for research, simulation, data analysis, and general systems design. Safepine LLC is not a financial institution, broker-dealer, registered investment adviser, commodity trading advisor, or financial service provider.

These Terms of Use (the “Terms”) constitute a binding agreement between you and Safepine LLC. By accessing our websites (including safepine.co), downloading, installing, or using the Software or related materials (collectively, the “Products”), you acknowledge that you have read, understood, and agree to be bound by these Terms.

Definition of "Software": For the purposes of these Terms, the term "Software" collectively refers to:

  • Safepine Studio: The compiled, executable local simulation environment and all associated binaries, libraries, documentation, and user interfaces distributed via Steam or direct download.
  • Safepine Core: The complete human-readable source code repository made available for audit, verification, and educational purposes, including all scripts, modules, algorithms, and build configurations contained therein.
  • Safepine Kernel: The dedicated backend service component responsible for local data processing, simulation logic execution, and system orchestration. This is the server-side binary required to operate Safepine Studio.

Technical Scope (Simulation-Only): The Software operates strictly offline and is technically incapable of:

  • Connecting to brokerage APIs, financial data feeds, or live trading accounts;
  • Executing, routing, or managing live orders, trades, or positions;
  • Functioning as a trading bot, signal service, portfolio management system, or execution engine.

User Responsibility: Any attempt by a user to integrate separate infrastructure to connect the Software to live financial markets, or to rely on simulation outcomes for actual financial decisions, is strictly outside the scope of the Software and remains the sole responsibility of the user. Safepine LLC assumes no liability for any losses, damages, or regulatory violations arising from such unauthorized use.

2.2. Component Licensing & Distribution

Component Definitions: (a) Safepine Studio: The integrated desktop application (GUI + Kernel), distributed exclusively via Steam. (b) Safepine Core: The complete human-readable source code powering both Kernel and Studio, hosted separately for audit purposes. (c) Safepine Kernel: The headless, offline backend binary for simulation execution, sold via direct payment channels.

Safepine Kernel License (Direct Sales): Purchase of the Kernel grants a non-exclusive, non-transferable Research & Education License only. Use is strictly limited to internal simulation, research, and verification of offline capabilities. Commercial use, third-party management, or integration into live trading infrastructure is strictly prohibited.

License Hierarchy: The source code for Safepine Core and related projects is made available under the license terms stated in the LICENSE file within the corresponding source repositories (which may include open-source or commercial terms). Proprietary builds, installers, or distributions of Safepine Studio, Safepine Kernel, or other products are subject to the specific End User License Agreement (EULA) presented at download, purchase, or installation.

Payment Disclaimer: Any payments made to Safepine are solely for access to products, software licenses, or optional support services. Payments are never for investment performance, financial returns, trading signals, or any other financial outcome. You are purchasing a tool for analysis, not a financial service or guaranteed result.

Conflict Resolution: To the extent there is any conflict between these Terms and a specific software license or End User License Agreement (EULA) that accompanies a particular codebase or distribution, the specific license agreement for that codebase or distribution shall govern your rights to use that software, including any warranty disclaimers and limitations of liability. These Terms do not expand any license rights granted in those separate documents.

2.3. Product Boundaries and Feature Restrictions

Safepine LLC maintains strict product boundaries to ensure the Software remains within the non-regulated scope described in these Terms. Safepine expressly reserves the right, in its sole discretion, not to develop, release, or support any feature that could reasonably be interpreted as:

  • Safepine managing money, assets, or providing individualized financial advice;
  • Safepine engaging in order routing, trade execution, or brokerage activities;
  • Safepine operating or marketing a trading, signal, or portfolio-management service.

Right to Modify: Safepine may modify, suspend, or discontinue any feature at any time without notice if Safepine determines such action is necessary for legal, regulatory, security, or policy reasons, or to maintain the Software's character as a simulation-only tool.

Conservative Development Policy: It is Safepine's established policy to refrain from releasing any feature where its regulatory status is ambiguous. This conservative approach is fundamental to Safepine's operational model and ensures continued compliance with applicable laws.

2.4. Design Principles and Philosophy

Safepine's product development is guided by core design principles that emphasize: (a) a conservative product scope strictly limited to simulation and research; (b) a clear architectural and operational separation from regulated financial activities; and (c) a preference for local, offline-first, and user-controlled tools.

No Contractual Obligation: These principles describe Safepine's current philosophy and operational approach. They are informational only and do not create separate contractual obligations, warranties, or guarantees of future conduct. Safepine reserves the right to evolve its products and strategies as needed, provided such changes remain within the bounds of these Terms and applicable law.

2.5. Disclaimers and Limitation of Liability

"As Is" Basis: The Software and Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory. This includes, but is not limited to, warranties of merchantability, fitness for a particular purpose, non-infringement, title, or that the Services will be error-free, uninterrupted, or that simulation results will be accurate or indicative of actual market performance.

Limitation of Liability: To the maximum extent permitted by applicable law (including Delaware law and the laws of the jurisdiction where you reside), Safepine LLC, its owner, employees, and contractors shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenues, data, goodwill, or trading losses, arising out of or relating to your use of or inability to use the Services. This limitation applies regardless of whether the Services are accessed via direct license, third-party distribution platforms (including but not limited to Steam), or any other means, and even if Safepine has been advised of the possibility of such damages.

Liability Cap: Safepine LLC’s total aggregate liability for any claims arising out of or relating to the Services shall not exceed the greater of: (a) the amount you actually paid to acquire the applicable software license or access rights in the twelve-month period preceding the event giving rise to the claim (whether paid directly to Safepine LLC or through an authorized distributor like Valve Corporation/Steam); or (b) one hundred U.S. dollars (USD 100.00).

2.6. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Effective date” at the top of this page. Your continued use of the Services after any update constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must immediately stop using the Services and uninstall the Software.

2.7. Governing Law and Jurisdiction

Governing Law: These Terms and any dispute arising out of or relating to the Services shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws principles.

Exclusive Jurisdiction: Any legal suit, action, or proceeding arising out of or relating to these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the state courts of the State of Delaware. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts. This jurisdiction clause applies regardless of the fact that our servers are hosted in Iceland or that you may reside in another jurisdiction.

International Users: If you are accessing the Services from outside the United States, you acknowledge that while Delaware law governs the contractual relationship, mandatory local laws of your residence (e.g., consumer safety statutes) may apply to certain non-waivable rights.

PRIVACY & DATA PROTECTION

3.1. Privacy Overview & Data Minimization

Safepine LLC adheres to a strict data minimization policy. We do not offer user accounts, and we do not collect usernames, email addresses, passwords, or any other personal identifiers from visitors to this website.

No Personal Data Collection: You can browse safepine.co and use the Safepine Studio software without providing any personal information. We do not sell, share, or profile user data for advertising purposes.

Technical Logs (IP Addresses): Our hosting provider in Iceland automatically collects limited technical information (IP address, browser type, timestamp) in server logs solely for security, abuse prevention, and operational diagnostics. This data is Never used for profiling, marketing, or behavioral tracking.

Local-First Software: Safepine Studio is an offline-first application. All your simulations, datasets, models, and research data remain exclusively on your local machine. Safepine LLC has no access to, and does not collect, any data generated within the software.

3.2. Your Rights

Because we do not collect personal data or maintain user accounts, rights such as "access," "portability," or "account deletion" are not applicable. However, if you believe your IP address has been logged in error or wish to request information about our minimal server logs, you may contact us at contact@safepine.co.

Children's Privacy: Since we do not collect personal data, we do not knowingly gather information from children under 13 (COPPA) or minors under 18. Our content is intended for general research and educational purposes.
